Wholesale Terms and Conditions

Account Requirements

Wholesale customers must be a valid retail business or be a member of the designer program.  A EIN for US-based stockists or proof of retail operation, either online or brick-and-mortar, is required. The reselling of our products on Amazon, eBay or similar online marketplace is prohibited. Reselling directly to "destash" or secondhand, or similar groups on social media platforms such as Facebook is prohibited. Etsy seller accounts (utilizing Etsy selling platform only) are permitted but limited in number, and we are not currently accepting any additional Etsy sellers due to saturation.

The Colour and Cotton wholesale program is open to stockists and businesses worldwide, but please remember that customs/VAT charges may still apply to your wholesale order and are your responsibility as the buyer. We cannot be held liable for additional customs delays or charges which may be applied to your order. Please consider the additional challenges around international shipping, we only ship via UPS.

 

Orders Received

We reserve the right to refuse or cancel any order you place with us, at any time for any reason. Wholesale orders are dyed upon receipt specifically for your shop. If you refuse an order upon invoicing, all future orders will require a 50% non-refundable deposit at the time of ordering, no exceptions. Given the continued and severe challenges in sourcing base materials and fabrics, information may change from the time an order is placed to the time an order is placed into production, and may affect our ability to fulfill your order.

We may, in our sole discretion, limit or cancel quantities purchased per person, per organization or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. 

You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

Orders may be placed on our online wholesale portal at any time.

 

Order Placement and Processing

Most orders, especially those including fabric, will be dyed to order for your shop. You will receive an automatic acknowledgment via email as soon as your order is successfully placed online. We will begin production on your order when it is received.

We make every effort to process and ship your order in as timely a manner as possible, but generally, orders take many months to complete if they contain hand dyed fabric. Very large orders may take longer, or high order volume make necessitate a longer processing time. This is due completely to the fact that base fabric remains in short supply and we do not often have firm estimates as to when our base fabric orders will arrive from the manufacturer.

There are no minimum requirements for individual order quantities or totals.

We are not offering individual thread skeins to new stockists at this time. 

 

Pre-Selling and Production Processing Time

The estimated production time listed on our website is our best estimate only and is not guaranteed. We cannot make any firm estimates while base supplies are backordered regularly, this is an ongoing issue and the manufacturer of our base fabric is still 6-8 months behind in production.

If you choose to pre-sell our items and take payment from customers in advance of receiving a shipment from us, we are not liable for customer service issues relating unforeseen delays or extended production times. Please pre-sell at your own discretion. Continued issues around "pre-orders" and pre-selling will result in the revoking of your wholesale account.

 

Payment

Payment must be received in full before your order is shipped, there are no extended payment terms offered. We accept credit/debit cards and ACH bank transfers via PayPal. We do not accept mailed checks or any other manual payments.

 

Dye Lots / Product Photography

We make every reasonable effort to ensure the consistency of our dye lots and product photos. However, please understand that some variation between dye lots is normal and should be anticipated. There are many factors during the dyeing process which affect the final color result, including the base materials. If too great a color shift begins to be an issue with a color formula, due to dye supply or other factors, we may consider the discontinuation of a color, or may update our product photography accordingly.

  

Shipping

Orders will ship once your payment has been received. Most orders ship on the same or next business day after receipt of payment. We ship most orders via UPS. Some small orders may ship via USPS. All shipments include tracking and/or insurance depending on the value of the order. Small orders (thread packs, etc.) may not be insured through the carrier, but will be replaced by Colour and Cotton should the package go missing or arrive damaged. You will receive a shipment notification email with tracking once your order has been shipped. 

 

Returns and Claims

Return claims and refund requests due to defective or missing merchandise only must be received via email within 10 days of receiving your shipment. Defective or incorrect products will be replaced fully. We do not permit returns for any reason other than defective or missing items.

 

Wholesale and Retail Pricing

Retail prices should be set at the sole discretion of the purchaser. We do not require that our products be sold at a minimum price and we do not guarantee a minimum markup or mandate a minimum markup. Wholesale prices on our website are subject to change at any time without notice.

 

Customer Information and Privacy

In the land of Internet breaches and scams, your privacy is taken very seriously. 

When you purchase something from our store, as part of the buying and selling process, we collect the personal information you give us such as your name, address and email address.  When you browse our store, we also automatically receive your computer’s internet protocol (IP) address in order to provide us with information that helps us learn about your browser and operating system.

Only with your permission (if you opt in during the account creation process), we may send you emails about our store, new products and other updates.

 

Secure Checkout and Your Data

Shop with confidence, our online store is hosted on a platform which exceeds industry standards for secure data transfers - your transactions and personal information are never stored by Colour and Cotton and are SSL-encrypted at all times.  At no point during the transaction do we have access to your credit card information, including on recurring subscription payments.

Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products and services to you.  Your data is stored through Shopify’s data storage, databases and the general Shopify application. They store your data on a secure server behind a firewall.  If you choose a direct payment gateway to complete your purchase, then Shopify stores your credit card data. It is encrypted through the Payment Card Industry Data Security Standard (PCI-DSS). Your purchase transaction data is stored only as long as is necessary to complete your purchase transaction. After that is complete, your purchase transaction information is deleted.

All direct payment gateways adhere to the standards set by PCI-DSS as managed by the PCI Security Standards Council, which is a joint effort of brands like Visa, MasterCard, American Express and Discover.  PCI-DSS requirements help ensure the secure handling of credit card information by our store and its service providers.

To protect your personal information, we take reasonable precautions and follow industry best practices to make sure it is not inappropriately lost, misused, accessed, disclosed, altered or destroyed.  If you provide us with your credit card information, the information is encrypted using secure socket layer technology (SSL) and stored with a AES-256 encryption. Although no method of transmission over the Internet or electronic storage is 100% secure, we follow all PCI-DSS requirements and implement additional generally accepted industry standards.
